Terms of Service
Thank you for visiting our Service. Please read these Terms carefully as they define the rules for accessing and using our Service.
1. Definitions and Interpretation
The following capitalized terms shall have the meanings assigned below:
the Company — FixTips.com LLC, incorporated in the State of Delaware, USA;
Consumer — a natural person for whom the use of the Service is not directly related to their business or professional activity, as well as a natural person for whom the use of the Service is directly related to their business activity, provided that it does not have a professional character for them;
Free Account — a free User Account within the Service, allowing limited use of the Service;
Paid Account — a paid User Account within the Service, available under a Subscription;
Subscription Period — the duration of the Subscription starting from: (a) the moment the User successfully makes the Monthly Payment (successful charge of the User's payment card), lasting for one (1) calendar month; or (b) the moment the User successfully makes the Annual Payment (successful charge of the User's payment card), lasting for one (1) year (twelve (12) consecutive months);
Cookies Policy — the Company's cookies policy published on the Service;
Privacy Policy — the Company's privacy policy published on the Service;
Terms — these Terms of Service;
Service — the website fixtips.com including all its subpages, administered by the Company;
Subscription — the User's right to use the Service in the form of a Paid Account during the Subscription Period, based on a Monthly or Annual Payment;
Monthly Payment — monthly payment by the User to the Company under the Subscription;
Annual Payment — annual payment by the User to the Company under the Subscription;
Services — all electronic services provided by the Company to the Users under these Terms;
User — any person using the Service, whether through a Free Account or a Paid Account;
User with a Free Account — a person using the Service through a Free Account;
User with a Paid Account — a person using the Service through a Paid Account.
2. General Provisions
2.1. These Terms set out the general conditions for using the website fixtips.com and the provision of Services by the Company to Users.
2.2. The owner and administrator of the Service is FixTips.com LLC, a company incorporated in the State of Delaware, with its registered office at Delaware, USA.
2.3. To contact the Company: please use the contact form available on the Service.
2.4. Using the Service requires prior review and acceptance of these Terms in full.
2.5. These Terms constitute the terms and conditions for the provision of electronic services.
3. Conclusion of the Agreement
3.1. The agreement for the provision of Services is concluded with the User with a Free Account at the moment the Free Account is created.
3.2. The agreement for the provision of Services is concluded with the User with a Paid Account at the moment the Paid Account is created and a successful Monthly or Annual Payment is made.
3.3. To conclude the agreement, the User must have full legal capacity (i.e., be at least eighteen (18) years old and not be incapacitated). Persons with limited legal capacity may conclude the agreement only with the consent of their legal representative. By creating an Account, the User declares that they have full legal capacity or the consent of a legal representative.
3.4. At the time of concluding the agreement, the User confirms via checkbox that they:
- have read and accepted the Terms;
- have read the rules for personal data processing;
- agree to the immediate provision of digital services, resulting in the loss of the right to withdraw from the agreement;
- are at least 18 years old or have the necessary consent from a legal representative.
3.5. Access to the Services is granted immediately upon conclusion of the agreement and no later than within 3 business days, unless otherwise stated by the Company.
4. Application of Terms
4.1. The Privacy Policy and Cookies Policy are integral parts of these Terms.
4.2. These Terms apply to all Users without exception.
4.3. By accessing the Service, browsing content, creating an Account, or otherwise using the Service, the User acknowledges that they have read, understood, and accepted these Terms along with any attachments and referenced documents.
5. Purpose of the Service
5.1. The purpose of the Service is to sort, search by specific parameters, and save results of sports competitions.
5.2. For the avoidance of doubt, the Company declares that it does not provide any form of gambling, betting services, or virtual events as defined under Polish or applicable U.S. gambling legislation.
6. Technical Requirements
6.1. The minimum technical requirements for using the Service include:
- a functioning device (computer, tablet, smartphone) with a stable Internet connection;
- an up-to-date and properly configured web browser with cookies enabled.
6.2. As using the Service via the open Internet involves potential security risks, the Company uses appropriate measures to minimize such risks and recommends that Users also take the following precautions:
- using software and apps from legitimate sources;
- regularly updating software;
- installing antivirus software;
- enabling a firewall;
- exercising caution with emails from unknown sources.
7. Intellectual Property Rights
7.1. Content published on the Service, especially all works including graphics, logos, trademarks, and related materials, are protected by intellectual property law.
7.2. The use of the Service does not confer any intellectual property rights to the User in relation to the content available on the Service.
7.3. Users must strictly comply with the Company's intellectual property rights. In particular, the following actions are prohibited:
- distributing, selling, or otherwise exploiting any part of the Service, in whole or in part;
- publishing, modifying, developing, reusing, or distributing Service content beyond personal use;
- placing links to the Service in a manner that obscures the source;
- tampering with the Service's software code;
- attempting unauthorized access to the Service, its server, or related databases;
- using software to disrupt the Service;
- using the Service for any purpose or in any manner inconsistent with these Terms, especially for commercial use.
7.4. The User declares that they have all rights and permissions necessary to upload, store, and use content within the Service and that their use does not violate the rights of third parties or applicable laws.
7.5. The User grants the Company a royalty-free license to store and process content submitted by the User in connection with their Account or Subscription for the purpose of providing the Services.
8. Prohibition of Unlawful Content
8.1. The User is required to use the Service in accordance with its intended purpose, these Terms, the Privacy Policy, the Cookies Policy, and applicable law.
8.2. In particular, the User must not engage in any activity that may disrupt the proper operation of the Service, including but not limited to:
- unauthorized access to content or information not intended for the User;
- distribution of spam or unsolicited commercial information through the Service;
- submission of illegal content to or via the Service;
- providing fictitious or third-party personal data;
- activities that may hinder or destabilize the Service;
- actions contrary to these Terms, good morals, social norms, or infringing on the rights and interests of the Company, other Users, or third parties.
8.3. The Company may remove illegal content posted by the User and retain it for archival, statistical, or legal purposes.
8.4. The Company is not liable for any content transmitted by Users through the Service and does not guarantee the full security of communication within the Service.
8.5. Users who seriously or persistently violate these Terms may have their access temporarily limited or blocked by the Company.
9. User Account
9.1. Users are entitled to create and maintain an Account on the Service.
9.2. To create an Account, Users must provide the following personal data: full name, email address, mobile phone number, and accept these Terms, the Privacy Policy, and the Cookies Policy.
9.3. The Account stores personal data provided by the User and transaction history.
9.4. Users must provide accurate personal data and keep it up to date. The Company may verify this information by sending an SMS or requesting confirmation.
9.5. Access to the Account is protected by the User's email and password. The User is responsible for choosing a strong password and securing login data.
9.6. Users may create a Free Account or a Paid Account.
9.7. Paid Accounts require Monthly or Annual Payments via electronic payment systems. Users may incur additional processing fees, which are disclosed prior to purchase. Invoices are sent to the User's registered email address.
9.8. Payments may require acceptance of third-party terms (e.g. banks, payment providers). The Company has no control over these terms.
9.9. For billing purposes, Users agree to receive invoices electronically.
9.10. Monthly Payments must be made regularly throughout the Subscription Period.
9.11. Annual Payments must be made upfront for the entire Subscription Period.
9.12. The date of payment is the date the User successfully completes the transaction or is successfully charged.
9.13. Subscriptions renew automatically unless cancelled.
9.14. Failure to make a Payment or the end of a Subscription Period may result in access being blocked.
10. Complaints Procedure
10.1. Complaints related to the Service should be submitted via the contact form and must include identifying information (name, email) and a description of the issue.
10.2. The Company will respond to complaints related to the operation of the Service within 30 days via email. Other complaints will be handled within 14 days using the same communication method as received.
10.3. The User acknowledges that resolving a complaint may result in temporary disruptions to the Service.
10.4. The Company is not obligated to fix minor bugs that do not materially affect the use of the Service.
11. Liability
11.1. The User uses the Service at their own risk. The Company's liability for any damages related to the use of the Service is excluded to the fullest extent permitted by law.
11.2. In particular, the Company is not liable for damages resulting from:
- interruptions in access to the Service;
- interruptions in Internet connectivity;
- failure by the User to meet technical requirements;
- submission of unlawful content;
- malfunctioning of the User's hardware or software;
- usefulness or accuracy of information posted on the Service.
11.3. If the Company is found liable to the User for any reason, such liability is limited to:
- actual damages only (no liability for lost profits);
- in the case of a Monthly Payment — to the amount of the last Monthly Payment;
- in the case of an Annual Payment — to the amount of the Annual Payment.
11.4. The Company does not provide any warranty for the Services.
11.5. The User agrees to indemnify and hold harmless the Company from any claims arising from their breach of these Terms, to the extent permitted by applicable law.
11.6. This section shall be interpreted in accordance with applicable laws of the State of Delaware.
12. Termination / Cancellation of Subscription
12.1. The User with a Free Account may terminate the agreement at any time by deleting their Account.
12.2. The User with a Paid Account may terminate the agreement at any time by deleting their Account, which results in immediate termination and cancellation of the Subscription. No refund of any Monthly or Annual Payment is provided.
12.3. Account deletion results in loss of access to all functionalities, including the Subscription.
12.4. The User with a Paid Account may cancel the Subscription at any time via the Service.
12.5. Cancellation of the Subscription does not entitle the User to a refund. The Subscription ends upon the expiration of the current Subscription Period.
12.6. The Company may terminate the agreement at any time with immediate effect if the User violates the Terms or applicable laws, without refund.
12.7. The Company may also terminate the agreement with at least twenty (20) days' notice if it discontinues the Services. In such case, the Subscription will end upon expiration of the current Subscription Period or a pro-rata refund will be issued within thirty (30) days.
12.8. Upon termination of the agreement, the Subscription is automatically canceled. No refund of any fees is granted unless otherwise stated herein.
13. Updates
13.1. The Company may implement changes to the Services that are not necessary to maintain compliance with the Agreement, provided that the Services are delivered on a continuous basis and not as a one-time performance.
13.2. The Company may make justified changes to the Services covered by the Agreement with the Consumer, including but not limited to:
- correction of potential errors;
- introduction of changes resulting from external factors (e.g. changes in law or interpretation);
- justified needs of the Users.
14. Cookies and Privacy Policy
14.1. The Company is committed to protecting the privacy of Users. Detailed rules concerning the collection and processing of Users' personal data and the use of cookies are set out in the Privacy Policy and Cookies Policy.
15. Amendments to the Terms
15.1. Users may access the current version of the Terms at any time via the Service and may download and print it.
15.2. The Company reserves the right to amend the Terms at any time, particularly in response to changes in applicable law or changes in the operation of the Service.
15.3. If the amendment significantly and adversely affects the access or use of Services by a Consumer, the Company will notify the Consumer with appropriate advance notice. In such case, the Consumer may terminate the agreement without notice within thirty (30) days.
15.4. In such cases, the Consumer may cancel their Subscription:
- for Monthly Payments — at the end of the current Subscription Period;
- for Annual Payments — the Company will refund the proportional part of the Annual Payment within thirty (30) days using the same method of payment used by the User.
15.5. The Privacy Policy and Cookies Policy may be amended as specified in those documents.
16. Final Provisions
16.1. The Company may perform technical and IT maintenance to update or develop the Service, including adding, modifying, or removing features.
16.2. Any disputes arising from these Terms shall be resolved by a court having jurisdiction over the Company's registered office, which is the state or federal court located in the State of Delaware, USA.
16.3. The User is not entitled to transfer any rights or obligations without prior written consent of the Company.
